Terms of Service

1. Acceptance of Terms

By accessing or using DrillKit (“the Service”), operated by Soldato Matthew James (“we”, “us”, “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you (“User”, “you”, “your”) and the Data Controller identified in our Privacy Policy.

2. Service Description

DrillKit is an AI-powered platform that generates English language worksheets, exercises, and educational materials from user-provided text, including but not limited to chat transcripts, YouTube video transcripts, articles, and vocabulary lists.

The Service is provided on a “freemium” model: a free tier with limited usage are available, alongside paid subscription plans with expanded features.

3. Eligibility

You must be:

• At least 16 years old under general GDPR provisions, or at least 14 years old under Italian law (Art. 2-quinquies, D.lgs. 101/2018), to create an account
• Legally capable of entering into a binding contract in your jurisdiction

If you are between the applicable minimum age and 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

4. User Accounts

To use certain features of the Service, you must create an account using email/password or Google OAuth. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately at privacy@drillkit.ai if you suspect unauthorised use

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Acceptable Use

You agree not to use the Service to:

• Upload, submit, or process content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Infringe the intellectual property rights of any third party
• Attempt to gain unauthorised access to the Service or its infrastructure
• Use automated tools to scrape, crawl, or extract data from the Service beyond normal API usage
• Resell, sublicense, or commercially redistribute generated content in a way that competes directly with the Service
• Upload content containing personal data of minors without appropriate legal basis or consent
• Use the Service for any purpose that violates applicable law

6. Intellectual Property

6.1 Your Content

You retain all rights to the text you input into DrillKit. By using the Service, you grant us a limited, non-exclusive, temporary licence to process your content solely for the purpose of generating worksheets. We do not store your input text after processing (see our Privacy Policy).

6.2 Generated Content

AI-generated worksheets and exercises are provided for your personal and educational use. You may print, share, and use them in your classroom or for personal study. You are responsible for reviewing all generated content for accuracy before use.

6.3 Our Platform

The DrillKit platform, including its design, code, algorithms, branding, and documentation, is the intellectual property of Soldato Matthew James and is protected by applicable copyright, trademark, and other intellectual property laws.

7. Subscriptions & Payments

7.1 Free Tier

The free tier provides limited worksheet generations per month. In accordance with Art. 135-octies of the Italian Consumer Code, use of the free tier — where personal data constitutes the consideration — entitles you to the same consumer protections as paying subscribers.

7.2 Paid Plans

Paid subscriptions are billed on a recurring basis (monthly or annually) through our payment processor, Stripe Payments Europe Ltd. By subscribing, you authorise us to charge the applicable fees through Stripe.

7.3 Cancellation & Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation:

• You retain access to paid features until the end of the current billing period
• No prorated refunds are provided for partial billing periods
• Your account reverts to the free tier after the paid period expires

7.4 Right of Withdrawal (EU Consumers)

If you are a consumer in the European Union, you have the right to withdraw from a purchase within 14 days of subscription, in accordance with the EU Consumer Rights Directive (2011/83/EU), unless you have expressly consented to the immediate provision of the digital service and acknowledged loss of the withdrawal right.

8. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied.

• AI-generated content may contain errors, inaccuracies, or inappropriate material. You are responsible for reviewing all worksheets before using them with students.
• We do not guarantee uninterrupted or error-free access to the Service.
• We are not responsible for the accuracy of YouTube transcripts or third-party content processed through the Service.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Soldato Matthew James shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your use of or inability to use the Service
• Any errors, inaccuracies, or omissions in AI-generated content
• Unauthorised access to or alteration of your data
• Any third-party conduct on the Service

Our total aggregate liability for any claims arising from or relating to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or €100, whichever is greater.

Nothing in these Terms excludes or limits our liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law, including mandatory Italian consumer protection provisions.

10. Indemnification

You agree to indemnify as and hold harmless Soldato Matthew James from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your infringement of any intellectual property or privacy rights of a third party
• Content you submit to the Service that you did not have the right to use

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use the Service ceases immediately
• We will process any data deletion requests in accordance with our Privacy Policy
• Sections 6, 8, 9, 10, 12, and 13 survive termination

12. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of Italy, including:

• The Italian Civil Code (Codice Civile)
• The Italian Consumer Code (D.lgs. 206/2005), in particular Art. 135-octies regarding digital content
• Regulation (EU) 2016/679 (GDPR) and D.lgs. 196/2003 as amended

Any disputes shall be subject to the exclusive jurisdiction of the Courts of Monza, Italy, without prejudice to mandatory consumer jurisdiction rules under Art. 66-bis of the Italian Consumer Code or equivalent provisions in the consumer's country of habitual residence within the EU.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes:

• We will update the “Last updated” date at the top of this page
• We will notify registered users via email at least 15 days before the changes take effect
• Continued use of the Service after changes take effect constitutes acceptance of the updated Terms
